TERMS & CONDITIONS FOR SCRIPTWALD® ENTERPRISE EDITION

Effective Date: 02.16.2025

These Terms & Conditions (“Agreement”) govern the use of Scriptwald® Enterprise Email Publisher(“Software”), developed and provided by Expedition Developers LLC (“Company,” “we,” “us,” or “our”). By purchasing or using Scriptwald® Enterprise Email Publisher, you (“Client,” “you,” or “your”) agree to comply with these terms.

1. PROJECT SCOPE & CUSTOM IMPLEMENTATION

1.1 Customization Timeline

Custom elements of Scriptwald® Enterprise Email Publisher require an implementation period of up to one (1) week, depending on the complexity of the request and the level of information provided by the Client.

Expedition Developers LLC will make reasonable efforts to meet the agreed-upon timeline but is not responsible for delays caused by incomplete or inaccurate specifications provided by the Client.

1.2 Required Inputs from Client

The accuracy and efficiency of deliverables depend on the quality and completeness of the information and base code provided by the Client.

If the Client fails to supply the necessary assets, specifications, or guidelines, we will default to our proprietary code base modules to populate the wizard.

Any post-implementation modifications due to insufficient initial input from the Client may be subject to additional fees.

2. DELIVERABLES & ACCURACY

2.1 Accuracy of Custom Implementation

Scriptwald® Enterprise Email Publisher is built using best practices for HTML email coding and follows standard compliance measures for cross-client rendering.

While we strive to ensure compatibility with major email platforms, we do not guarantee 100% accuracy across all email clients due to third-party rendering inconsistencies.

Expedition Developers LLC is not liable for email display issues resulting from third-party platform changes beyond our control (e.g., Gmail, Outlook, Apple Mail updates).

2.2 Testing & Quality Assurance

We provide preliminary testing to ensure that the custom elements function as expected within standard parameters.

Additional revisions beyond the agreed scope may be subject to additional fees, depending on the extent of the requested changes.

3. CLIENT RESPONSIBILITIES

3.1 Information & Communication

The Client must provide all required assets, branding guidelines, and design specifications before the customization process begins.

Any failure to provide timely information may result in delays and/or additional costs.

3.2 Approval Process

The Client is responsible for reviewing deliverables and providing feedback within three (3) business days after receipt.

If no feedback is received within this timeframe, the deliverables will be considered approved and final.

4. INTELLECTUAL PROPERTY & LICENSE

4.1 Ownership

The base code, core framework, and proprietary modules of Scriptwald® Enterprise Email Publisher remain the exclusive property of Expedition Developers LLC.

Any custom elements developed specifically for the Client’s implementation will be licensed for their use but may not be resold, redistributed, or reverse-engineered.

4.2 Usage License

The Client is granted a non-exclusive, non-transferable license to use Scriptwald® Enterprise Email Publisher within their organization.

Any unauthorized duplication, distribution, or modification of the software outside of agreed terms may result in license revocation.

5. PAYMENT TERMS

5.1 Fees & Invoicing

Payment terms for Scriptwald® Enterprise Email Publisher will be outlined in the Client’s purchase agreement.

Custom implementation fees are non-refundable once work has begun.

5.2 Late Payments

Payments not received within seven (7) days of the due date may result in service suspension until payment is made.

6. LIMITATION OF LIABILITY

Expedition Developers LLC is not liable for any indirect, incidental, or consequential damages arising from the use of Scriptwald® Enterprise Email Publisher.

In no event shall our liability exceed the total fees paid by the Client for the specific implementation services.

7. MODIFICATIONS & TERMINATION

Expedition Developers LLC reserves the right to modify these terms at any time. Updates will be communicated to Clients as necessary.

Either party may terminate this agreement if the other party materially breaches these terms and fails to remedy the issue within ten (10) business days of notice.

8. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of [Your State], United States.

By purchasing or using Scriptwald® Enterprise Email Publisher, you acknowledge that you have read, understood, and agreed to these Terms & Conditions.
